Terms and Conditions of Sale

These Terms and Conditions of Sale apply to purchases made through the HVACPRO360 website and related ordering services (collectively, the "Site"). In these terms, "HVACPRO360," "we," "us," and "our" mean HVACPRO360.

ORDERS AND ACCEPTANCE

Submitting an order is an offer to purchase the products shown in your order. An order is accepted only when HVACPRO360 sends an order confirmation or otherwise confirms acceptance. We may decline, limit, or cancel an order before acceptance, including because of an error in pricing or availability, suspected fraud, or an inability to fulfill the order. If we cancel an order after payment has been captured, we will refund the amount paid for the cancelled items to the original payment method.

You are responsible for providing complete and accurate order, delivery, and contact information. If an order contains an error, contact us promptly at info@hvacpro360.com. We will try to help, but changes or cancellations are not effective until we confirm them in writing.

PRICES, PAYMENT, AND TAXES

Prices, product descriptions, and promotions may change without notice. The price displayed when you submit an order is subject to correction of clear errors before acceptance. You agree to pay the product price, shipping and handling charges, and all applicable taxes. Massachusetts sales and use tax will be collected when required by law.

Payment must be authorized before an order is released for fulfillment. We may use payment processors to process payments; HVACPRO360 does not receive or store full payment-card numbers when a processor handles the transaction.

DELIVERY, TITLE, AND RISK OF LOSS

Delivery dates are estimates, not guarantees. Title and risk of loss pass as stated in the order confirmation or, if not stated there, when the products are delivered to the carrier for shipment, except where applicable law requires otherwise. Inspect deliveries promptly and report visible shipping damage or missing items to the carrier and HVACPRO360 as soon as reasonably possible.

RETURNS, REFUNDS, AND PRODUCT ISSUES

Return eligibility, restocking charges, and return procedures are governed by the return information provided with the order or otherwise published by HVACPRO360 at the time of purchase. Products must be returned only after a return authorization is issued, unless we instruct otherwise. This section does not limit any right that cannot lawfully be waived, including rights related to nonconforming goods or a valid manufacturer warranty.

HVAC EQUIPMENT AND PROFESSIONAL INSTALLATION

HVAC equipment must be selected, installed, commissioned, serviced, and maintained by qualified professionals in compliance with the product documentation and all applicable laws, codes, permits, and safety requirements. You are responsible for confirming that the product is suitable for the intended application and for arranging all required installation, electrical, refrigerant, and permitting work. Improper installation or service may result in property damage, serious injury, or death.

WARRANTIES

Any product warranty is the warranty supplied by the applicable manufacturer and is subject to that manufacturer's terms, registration requirements, exclusions, and claims process. Except as expressly stated in writing by HVACPRO360, HVACPRO360 does not provide a separate warranty. Nothing in these terms excludes or limits any warranty or remedy that cannot be excluded or limited under applicable law.

DISCLAIMERS AND LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Site and product information are provided "as is" and "as available." HVACPRO360 does not warrant that the Site will be uninterrupted or error-free, or that product information is complete or current. We may correct errors, inaccuracies, or omissions at any time.

To the fullest extent permitted by law, HVACPRO360 will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from an order, product, or use of the Site. To the fullest extent permitted by law, HVACPRO360's aggregate liability for a claim relating to a product will not exceed the amount paid to HVACPRO360 for that product. These limitations do not apply where prohibited by law and do not limit liability for intentional misconduct, gross negligence, or any other liability that cannot legally be limited.

ELECTRONIC COMMUNICATIONS

By providing an email address or using the Site, you agree that we may provide order confirmations, notices, and other communications electronically. Electronic communications satisfy any legal requirement that a communication be in writing when applicable law permits. Electronic transactions are governed, where applicable, by Massachusetts General Laws chapter 110G and other applicable law.

GOVERNING LAW AND VENUE

These terms and any dispute arising from them or an order are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules. Any action must be brought in a state or federal court located in Massachusetts, unless applicable law requires a different forum. Nothing in these terms limits rights or remedies that cannot be waived under Massachusetts or federal law.

CHANGES TO THESE TERMS

We may update these terms from time to time. Updated terms apply to orders placed after the effective date shown above or on the updated page; they do not change the terms that applied to an already accepted order unless both parties agree in writing.
